 TERMS AND CONDITIONS                                                                                                     1.     Terms and Conditions:  Venue grants Client permission to use the premises located at 357 W 16th St, New York, NY 10011, United States, for the event entitled "Holiday Event” as detailed in the Banquet Event Order (hereinafter the “Event”). Client agrees that it is renting the facility in its completed form and finished product usefulness or fitness thereof for a particular purpose, including the event. An initial deposit of fifty percent (50%) is due upon the signing of this Agreement. The deposit is calculated based upon the guaranteed number of guests, room charge, any additional charges, tax, gratuity, equipment rentals and operations fee. The operations fee is for the Venue and is not purported to be and will not be distributed as a gratuity for the service staff. The operations fee is applied to offset ancillary expenses associated with the planning and administration of your event. It is subject to all applicable state sales taxes. The final cost for the event is based upon the guaranteed number of guests attending the event or the actual number of guests in attendance whichever is greater. The final payment balance is due one week prior to the event date. Payment may be made with a credit card, wire transfer, or company check. Any additional costs incurred after the final payment has been received will be due at the conclusion of the event, if such additional costs were priorly approved by the Client. Signed Contract and Payment Schedule: Your event is not considered confirmed until the following documents are signed by the Parties:   A.   [DM1] Terms and Conditions B.     Credit Card Authorization Form C.    [DM2] 50% deposit due upon signing D.  50% due 25 days prior to event E.    In the case of additional cost priorly approved by the Client, payment is due the night of the event. 2.    Cancellation Policy: If the Client elects to cancel this Agreement for any reason other than a termination for cause or for excused non-performance the Client agrees to provide the Venue with notice of such cancellation. If the Client cancels the event, the Venue retains the right to withhold all or a portion of the deposit to reflect a loss of revenue for the Venue, as follows: •   If the Client cancels event with more than24days prior to the event date, original deposit charge (50%) will be forfeited. •   If the Client cancels the event with less than 14 days’ notice prior to event date, original deposit charged (50%) will be forfeited and Client will be responsible for 25% of the remaining 50% balance. •   If the Client cancels event less than 10 days prior to event date, Client is responsible for the full balance of the contracted event. 2a. Refund: Should venue fail to open and is unable to host said event the client will be entitled to a full refund. 3.     Payment: Venue accepts American Express, Master Card, Visa, wire transfers or cashier’s or certified checks for initial deposits and final payments. Personal checks and corporate checks will only be accepted if delivered more than two (2) weeks prior to the event, and will only be accepted for final payment or for any additional charges incurred during the event. An approved credit card is required for any other payments hereunder, including the guest count guarantee. 4.   Authority: Any person signing this Agreement in the name of a corporation, entity, association, club or society represents and warrants to Venue that he/she is authorized to sign the agreement on behalf of the stated organization. 5.      Taxes and Additional Charges: Client agrees to pay all federal, state, municipal, entertainment or other taxes imposed on or applicable to the event and listed in the Credit Card Authorization Form. 6.   Tax Exempt Status: Groups or organizations claiming exemption from applicable federal, state, or municipal taxes are responsible for providing
