ENTIRE AGREEMENT: This agreement constitutes the entire agreement between the parties and supersedes all previous agreements (written or oral) between the parties in relation to its subject matter. Each party acknowledges that in entering into this agreement it has not relied on, and shall have no right or remedy in respect of any statement, representation, assurance or warranty (whether made negligently or innocently) other than as expressly set out in this agreement. Nothing in this clause shall limit or exclude any liability for fraud. PRICING: Pricing shall apply for Sixty (60) days from the date of this Agreement. Payment of the deposit must be completed immediately after the signing of this contract. Changes to price after the Payment of the deposit is received will only occur if both CLIENT and GRAND EXPOSURE agree on an alteration to the services provided. RESERVATION DEPOSIT: Upon signature & payment of the deposit, GRAND EXPOSURE will undertake to provide the services set forth in this agreement. The parties agree to the said PRICING as stated in this agreement, unless amended by the terms of this Agreement. For this reason, the Reservation Deposit of 1/3 of total price is non-refundable, even if the date is changed or the event is canceled for any reason. The Reservation Deposit is to be paid at the time of signing the contract. The Reservation Deposit is applied towards the contracted GRAND EXPOSURE pricing. THE CLIENT understands and agrees that the balance is due in full ten (10) days prior to the event. Time is of the essence. Failure to satisfy the balance of the agreed contract prior to the event date, will cancel the contract and GRAND EXPOSURE will not be held liable for any reason. Payment is made electronically through https://www.grandexposurebooth.com. Contact GRAND EXPOSURE for details. DAMAGE TO PREMISES: GRAND EXPOSURE will be solely responsible for any damages to the subject premises caused by GRAND EXPOSURE or their agents. CLIENT shall retain responsibility for any damages caused by the Patron or their guests or agents. LIMIT OF LIABILITY: In the unlikely event that of total equipment failure, act of God, traffic, or cancellation of this contract, by either party, or in any other circumstances, the liability of one party to the other shall be limited to the total value of the contract. Neither party shall be liable for indirect or consequential loss. This limitation of liability also applies to any loss/damage of photographs or failure to delivery photographs for any reason. If photographic capabilities are unable to be supplied for more than eighty percent (80%) of the contract run-time, the liability shall be pro-rated based on the percentage loss of the total. In the unlikely event of total printer failure, GRAND EXPOSURE will provide THE CLIENT with two (2) copies of each printout, via the mail, within three (3) weeks of the event. The sole remedy for any actions or claims shall be limited to a refund whose total amount cannot exceed the total monies paid by the CLIENT under this Agreement during the time proceeding the date on which such liability arises. Notwithstanding the above, CLIENT assumes responsibility for all collection costs and reasonable attorney’s fees incurred by GRAND EXPOSURE should enforcement of this Agreement become necessary. CLIENT will indemnify and hold GRAND EXPOSURE harmless from and against all suits, claims, losses, damages and expenses incurred as a result of claims made against GRAND EXPOSURE and/or CLIENT (including loss or damage to the property of any person or injury to or death of any person) arising from the distribution, use, misuse, or publication of photographs by the CLIENT or third- persons. The obligations set forth in this Section will survive the termination or expirations of the parties’ relationship. CLIENT assumes responsibility of so notifying all its employees, guests, visitors and invitees of the said hold harmless terms and indemnification
