INSURANCE
During the License Period, Licensee shall carry and maintain the following type of insurance:
Comprehensive General Liability and Automobile Liability (owned, non-owned, and hired) with limits not less than $1,000,000 combined single limit for Bodily Injury and Property Damage per occurrence and $2,000,000 General Aggregate. All such coverage shall insure on an occurrence basis.
Products and Completed Operations of at least $1 million.
Excess Umbrella of at least $1 million.
Worker’s compensation and other forms of insurance that may be required by applicable Requirements.
All such insurance shall be maintained with companies with a Best Rating of "A VII" or better. Such policies shall be primary and non-contributory and all insurance carried by Licensor shall be strictly excess and secondary and shall not contribute with Licensee's insurance. Certificates of insurance shall be provided to Licensor prior Licensee entering the Venue Facilities. Such certificates shall be updated as necessary during the term of this Agreement. The policies must name Licensor, Licensor’s property manager, and Licensor’s mortgagees as additional insureds. Licensee hereby waives any and all rights of recovery against Licensor, or against the officers, partners, employees, agents, trustees, members, investment advisors, consultants and representatives of Licensor, for or arising out of damage or destruction to any property of Licensee or the property of others under its control to the extent that Licensee's insurance policies then in force or the policies required by this Agreement, whichever is broader, insure against such damage or destruction. Licensee shall, upon obtaining the policies of insurance required hereunder, give notice to the insurance carrier or carriers that the foregoing waiver of subrogation is contained in this Agreement.
