Terms and Conditions
Final Headcount
The final headcount is due 5 business days prior to the Event Date specified above. If no final headcount is received, the Client will be charged for the most recently received estimated headcount or for the number of guests in attendance, whichever is greater. The Planner will make every effort to accommodate additional guests, if possible, but this cannot be guaranteed.
Final Menu Selection
The final menu selection is due 10 business days prior to the Event Date specified within the estimate.
Payment
The Parties agree to the following Payment and Payment Terms:
a. Total Fee for Services: Food and beverage (F&B) minimum stated within estimate, plus any F&B over minimum, plus tax and 20% gratuity (if F&B minimum is not met, the difference shall be considered a room fee)
b. Amount/Percentage Due Upon Execution of Agreement: Deposit amount stated within estimate.
c. Balance Due on Day of Event: Total Fee for Services as specified in 6(a) less deposit as specified in 6(b)
Cancellation
a. By Client. The Client may cancel this Agreement at any time. If the Client cancels up to 90 days prior to the Event Date, the Client will be entitled to a full refund. If the Client cancels 60 days prior to the Event Date, the Client will be entitled to a fifty percent (50%) refund. If the Client cancels less than 30 days prior to the Event Date, the Client will not be entitled to a refund.
b. By Planner. The Planner may cancel this Agreement at any time. If the Planner cancels, the Planner must provide a suitable, replacement Planner, subject to the Clienfs approval, which shall be obtained in writing. In the alternative, the Planner shall refund all monies previously paid by the Client, with the exception of any non-refundable deposits, which were agreed to by the Client.
Dispute Resolution and Legal Fees
In the event of a dispute arising out of this Contract that cannot be resolved by mutual agreement, the Parties agree to engage in mediation. If the matter cannot be resolved through mediation, and legal action ensues, the successful party will be entitled to its legal fees, including, but not limited to its attorneys' fees.
